Tori Foundation is a Cayman Islands foundation company established to foster and support open technology protocols and associated technologies.
The Foundation exists to advance the development, adoption, and long-term stewardship of such technologies, to take such steps as are necessary or advisable in support of that purpose, and to do all things incidental or conducive to those objectives. Its work is guided by its memorandum and articles of association and the fiduciary duties of its directors.
Activities
Research and Development
The Foundation funds and coordinates research, engineering, and applied development work in furtherance of open technology infrastructure. This includes direct funding of technical work, grants to independent researchers and contributors, and the commissioning of specialised studies and reviews.
Treasury
The Foundation maintains a treasury for the purposes of funding its activities and advancing its objectives. Assets are held with regulated financial institutions and deployed in accordance with the Foundation's memorandum and articles of association and the fiduciary duties of its directors. Treasury activity is conducted with a long-term horizon and a preference for durable outcomes over immediate return.
Subsidiaries and Jurisdictional Coordination
Where the advancement of the Foundation's objectives benefits from a presence or legal personality in a given jurisdiction, the Foundation may establish subsidiary or affiliated entities in that jurisdiction. The Foundation coordinates the activities of any such entities in a manner consistent with its memorandum and articles of association.
Governance
The Foundation is a non-profit entity. No portion of its income or property may be distributed, directly or indirectly, by way of dividend, bonus, or distribution of profit to its members, directors, or supervisors, other than as authorised remuneration for services rendered to the Foundation. In the event of the Foundation's dissolution, surplus assets are applied to charitable objects.
The Foundation acts independently in furtherance of its objectives. Its directors exercise their powers under, and subject to, the Foundation's memorandum and articles of association and applicable Cayman Islands law. Corporate services are provided by professional service providers in good standing in the Cayman Islands.

The Foundation is structured to support its objectives over a multi-decade horizon, prioritising durable outcomes over immediate results.

Assets of the Foundation are managed and deployed in accordance with the fiduciary duties of its directors and the terms of its constituting documents.

The Foundation complies with applicable laws and maintains appropriate professional service providers in each jurisdiction in which it operates.
